BaseStation3 brought revolutionary technology to growers and remains
the industry’s best on-premises solution. We value all Basestation3
customers and will continue to support its existing functionality.
Growers who rely on BaseStation3 do not need to switch to Valley 365,
but as features are added to Valley 365 that BaseStation3 customers
want, we will provide a clear transition path for them.
Advancements in technology have contributed to the evolution of
agriculture and will continue to do so. Growers can trust Valley to provide
flexible options that meet their changing needs.

AgSense Statement
Many growers use and trust AgSense as their provider of remote
management hardware and software. We value these customers and will
continue providing superior service and the most intuitive user experience.
AgSense growers will have the option to migrate to Valley 365, keeping
the monitor and control solutions they know – in the enhanced Valley 365
platform. AgSense devices and software functionality is being brought directly
into Valley 365, making the transition seamless. Migrating from AgSense also
allows growers to integrate their operation further, by leveraging additional
technology such as Valley Scheduling and VRI that will be available in Valley
365.

Telemetry Statement
Valley is committed to serving the needs of all our growers. We understand
that cellular coverage does not extend to all farms and fields. Valley can
custom-design a telemetry solution that combines both data radios and
cellular telemetry, in order to connect devices to the cloud-based Valley 365
platform.
With these options, growers will have the flexibility to connect devices in
areas of their farm that were previously unreachable. As
technology advances, Valley hardware is designed to be easily adaptable to
take advantage of what the future offers.

22.  Pricing Statement

Pricing Statement
As technology continues to evolve, pricing and billing structures do, too. As
with many industries, including agriculture, a subscription or licensebased pricing model is becoming the primary billing option.
The cost structure for Valley 365 will include license pricing bundles and longterm options of up to 10 years. It will consist of per-unit pricing similar
to today for all modules, as well as options for field-based pricing and
software package bundles. Existing customer conversion plans will be
customized based on grower need.
This structure will be simple, resulting in consolidated billing for customers,
yet flexible enough to be tailored to differing grower and operational needs.

23. New Subscription Billing Method

• Old Method – Valley/AgSense bill regions in bulk, regions
bill dealers, dealers bill growers
• New Method, beginning Jan. 2020 – Valley bills growers
directly. Each invoice is automatically generated within the
billing software.
